Exception of a party's duty of confidentiality for information that was developed independently by them
Example
Confidential Information shall not include information or matter that the Recipient can demonstrate by reasonable and tangible evidence to the Discloser's reasonable satisfaction was independently developed by the receiving Party without the use of confidential and proprietary information of the disclosing Party.
