Definition
Statement that the shares are unregistered, under an exemption from securities laws.
Example
None of the Securities have been registered under the 1933 Act, in reliance upon the applicability of Section 4(a)(2), 4(a)(6) and/or Rule 506 of Regulation D of the 1933 Act to the transactions contemplated hereby. The certificates representing the Securities will bear an investment legend stating that they are "restricted securities" (as defined in Rule 144 under the Securities Act) and may only be offered and sold pursuant to an effective registration statement filed with the SEC or pursuant to an exemption from the registration requirements.
