Definition
A representation that entry into the agreement will not cause a conflict with the party's other obligations such as internal regulations, applicable laws or contractual agreements.
Example
Neither, the execution and delivery of this Agreement, nor the consummation of the transactions described hereby will constitute a violation or breach of the Articles of Incorporation, as amended, or the Bylaws, as amended, of Company, or any agreement, stipulation, order, writ, injunction, decree, law, rule or regulation applicable to Company.
